We reserve the right to modify or discontinue any of our services without notice or liability, provided that any contracted services are fulfilled in accordance with your agreement.

2. Client Responsibilities

As a client, you agree to:

• Provide accurate and up-to-date information needed for us to deliver our services effectively.

• Collaborate with us by making personnel and resources available for the completion of consulting projects.

• Comply with all applicable laws and regulations related to the work being conducted.

• Use our website and services for lawful purposes and refrain from any activity that may interfere with or disrupt our operations.

3. Fees and Payment

Our fees for consulting services are outlined in individual agreements or proposals.

• Invoicing: You will receive invoices based on the payment schedule agreed upon in your contract.

• Payment Terms: Payments are typically due within 30 days of invoice issuance unless otherwise specified in your agreement.

• Late Payments: If payments are not received within the specified period, we reserve the right to charge late fees and suspend services until payment is received.

All fees are non-refundable unless otherwise agreed upon in writing.

4. Confidentiality

Both parties agree to keep any confidential information shared during the course of the engagement private.

• Confidential Information: This includes, but is not limited to, proprietary business information, project details, and financial data.

• Non-Disclosure: You agree not to disclose any confidential information received from us to third parties without prior written consent, and we agree to the same regarding your confidential information.

This confidentiality obligation survives the termination of our agreement.

5. Intellectual Property

Any intellectual property created or developed by Agile Innovation Group during the course of providing our services, including reports, strategies, or solutions, remains our property unless otherwise agreed.

• License to Use: Upon full payment, you are granted a non-exclusive, non-transferable license to use the materials or deliverables for internal business purposes.

• Client Data: Any intellectual property or proprietary information you provide to us remains your property.

6. Limitation of Liability

While we strive to provide high-quality services, Agile Innovation Group is not liable for:

• Any indirect, incidental, or consequential damages arising from the use or inability to use our services.

• Any business losses, including loss of revenue, profits, or data, that may occur as a result of our services or reliance on our advice.

In no event will our liability exceed the fees paid for the services provided.

7. Termination of Services

Either party may terminate the consulting agreement:

• For Convenience: Either party can terminate the agreement by providing [30] days' written notice.

• For Breach: If either party breaches the agreement, the non-breaching party may terminate the agreement immediately upon written notice.

Upon termination, you are responsible for payment of services provided up until the date of termination.

8. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the United Kingdom.

• Dispute Resolution: In the event of any dispute arising from our services, we will attempt to resolve the issue through good-faith negotiations. If a resolution cannot be reached, the dispute will be settled by arbitration or mediation in the UK.

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting the updated Terms on our website.
